Commvault Faces Class Action Lawsuit Over Alleged Misleading ARR Growth Statements

Robbins Geller Rudman & Dowd LLP filed a class action lawsuit against Commvault Systems, Inc. and certain current and former executive officers on May 18, 2026. The suit covers purchasers of Commvault securities between April 29, 2025 and January 26, 2026. It alleges false statements about steady annualized recurring revenue growth and failure to disclose impacts from different sales types on net new ARR. On January 27, 2026 Commvault reported third quarter 2026 net new ARR of $39 million versus prior guidance of $45 million. Commvault stock price fell more than 31 percent following the January 27, 2026 earnings release according to the complaint.
