Commvault Systems Faces Class Action Lawsuit Over Alleged Misleading ARR Guidance

Commvault Systems Inc. and senior executives face a securities fraud class action lawsuit filed in the U.S. District Court for the District of New Jersey. Bleichmar Fonti & Auld LLP announced the suit on May 20, 2026 alleging violations of Sections 10(b) and 20(a) of the Securities Exchange Act of 1934. On January 27, 2026 Commvault reported Q3 FY2026 net new ARR of $39 million missing its $45 million guidance due to an ARR mix shift toward lower ASP SaaS deals. The disclosure caused Commvault stock to drop 31% from a $129.36 close on January 26 2026 to $89.13 on January 27 2026. Investors who purchased shares between April 29 2025 and January 26 2026 have until July 17 2026 to seek lead plaintiff status in Imbert v. Commvault Systems Inc. No. 26-cv-5654.
